Terms of Service
Effective: 8 October 2026 · Version 2026-10-08
1. Who we are and what these Terms cover
PropTool (“PropTool”, “we”, “us”) is an online platform available at proptool.org. These Terms of Service (“Terms”) govern your access to and use of the website, the web and mobile application, the Telegram bot, and every page, link and file generated through them (together, the “platform”).
The Payment Policy forms part of these Terms. The Privacy Policy explains how we handle personal data.
You accept these Terms by ticking the acceptance box when you create an account, or when we ask you to accept an updated version. If you do not accept them, you may not use the platform.
The platform is intended for real estate professionals. You must be at least 18 years old and able to enter into a binding contract. If you accept these Terms on behalf of an agency or company, you confirm that you are authorised to bind it, and “you” includes that organisation.
2. What PropTool is and what it is not
2.1 A technical tool
PropTool provides software for preparing, packaging and sharing property materials: property records, landing pages, presentations and PDF files, client selections, a broker storefront, digital business cards, calculators, and statistics on how your own materials are viewed.
2.2 What PropTool is not
PropTool is not a real estate broker, agent, developer, property portal, valuer, or financial or investment adviser. We do not verify listings and do not check the price, ownership, legal status or availability of any property. We do not take part in negotiations or transactions between you and your clients and receive no commission from them.
2.3 Calculators
Calculators apply fixed formulas to the figures you enter: price, rent, fees, mortgage terms, payment plans and similar inputs. Every result depends on those inputs and assumptions. Results are illustrative. They are not a forecast, a valuation or a recommendation, and they are not market analysis.
2.4 Third-party data
Some features show information from third-party sources, such as location directories, exchange rates and web search results used by AI features. We provide that information as received, without verification. It may be incomplete, out of date or wrong.
2.5 AI features
Some features use artificial intelligence (Google Gemini) to draft or translate text and to extract data from text and files you provide. AI output can be inaccurate or invented. You must check it before you publish or share it. Once you keep it, it is your content under section 4.
2.6 No advice
Nothing the platform produces or displays is financial, investment, legal, tax, valuation or other professional advice, or an offer or recommendation to buy, sell or rent any property. You must not present it to your clients as such. Decisions about any property or investment are made by you and your clients.
3. Accounts
You must give accurate registration details and keep them up to date. You are responsible for everything done under your account and for keeping your sign-in details confidential. Tell us at support@proptool.org as soon as you suspect unauthorised use.
One account is for one person. Sharing a login is not permitted — agencies add each broker as a separate user.
3.1 Accounts inside an agency
If your account belongs to an agency, the agency administrator controls your subscription, permissions and parts of your profile, and can suspend or delete your account. The agency is the paying party. When the agency subscription ends, access ends for every broker under it.
4. Your content, listings and publications
4.1 You are the publisher
“Your content” means everything you or users of your account upload, enter, generate, publish or send through the platform: property data, descriptions, prices, payment plans, photos, videos, floor plans, documents, logos, contact details, messages, and AI output you keep. You are the sole author and publisher of your content. PropTool stores it and displays it in the form you choose.
4.2 Your obligations for listings
Before you publish or share a property, and for as long as it stays published, you confirm that:
- you are entitled to market the property, including any authorisation from the owner or developer that the law requires;
- you and your company hold the licences required in the relevant emirate and comply with real estate advertising rules, including those of the Dubai Land Department and RERA — for example advertising permits and the display of BRN and ORN numbers where required;
- the information is accurate, current and not misleading, including price, size, availability, payment plans and any projected returns;
- you hold the rights to the photos, videos, texts, plans and logos you use;
- every person whose personal data appears in your content has agreed to it.
4.3 No pre-moderation
We do not review, approve or verify your content before or after it is published, and we have no obligation to monitor it. Features such as link expiry, passwords, archive or white-label mode are tools for you. They do not mean that we have checked anything.
4.4 Responsibility for content and its distribution
You alone are responsible for your content and for its publication, distribution and use, including every link, QR code, PDF file and message you send or share. A shared link or file can be copied and forwarded beyond our control.
Any claim, complaint or dispute about your content — from clients, owners, developers, other brokers, regulators or anyone else — is a matter between you and that person. PropTool is not a party to it. If such a claim is made against us, you will cooperate with us and section 12 applies.
4.5 Dealings with your clients
Communications, negotiations and agreements between you and your clients or other third parties are solely between you and them, including those that start through the platform: storefront request forms, selections and reactions.
4.6 Removal of content
We may restrict access to or remove any content, or suspend publication, if we receive a credible complaint, if the law or an authority requires it, or if we reasonably believe the content breaches these Terms. Where possible, we tell you first. Anyone may report content they believe is unlawful at support@proptool.org.
5. Personal data of your clients
When you upload or collect personal data of other people — for example, clients who leave their name and phone number on your storefront, or contacts of property owners — you decide why and how that data is used. You act as the controller of that data, and PropTool processes it on your behalf only to provide the platform.
You are responsible for having a lawful basis for that data, for informing the people concerned, for answering their requests, and for complying with Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and any other law that applies to you.
6. Acceptable use
You agree not to:
- resell, sublicense or share your access with anyone outside your account;
- publish properties you are not entitled to market, properties that do not exist, or knowingly false prices and terms;
- publish contact details of people who have not agreed to it, or send unsolicited bulk messages;
- present platform calculations or AI output to clients as verified valuations or professional advice;
- impersonate another person, broker, agency or developer;
- upload anything unlawful, discriminatory, infringing or misleading, or anything containing malicious code;
- scrape, bulk-download or systematically extract data from the platform;
- work around plan limits, inflate view counters, or automate requests beyond normal interactive use;
- probe, scan or attempt to gain unauthorised access to any part of the platform.
We apply rate limits and may throttle or block traffic that we reasonably believe is automated or abusive.
7. Subscriptions and payment
Paid plans, billing, renewal, cancellation and refunds are governed by the Payment Policy. Subscriptions renew automatically until you cancel them. Payments are non-refundable, except in the cases listed in the Payment Policy.
8. Intellectual property
You keep ownership of your content. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, copy, adapt for display and publish it, solely to operate the platform and to render the pages, reports and files you choose to publish or export. The licence ends when you delete the content, except for copies kept in backups for a limited time.
The platform — its software, interface, design, templates and documentation — belongs to us. Your subscription gives you a limited, non-exclusive, non-transferable right to use it while the subscription is active. If you send us suggestions, we may use them without obligation to you.
9. Third-party services
The platform relies on third-party services, including Whop (payments), Google (hosting, sign-in, AI), Mapbox (maps), Telegram (bot) and services you embed in your pages, such as YouTube or Google Maps. Their own terms apply to your use of them. We are not responsible for their availability, content or actions.
10. Suspension, termination and your data
You may stop using the platform and cancel your subscription at any time. We may suspend or terminate an account that breaches these Terms, that the law or an authority requires us to act on, or that poses a security risk — with notice where circumstances allow.
10.1 After your subscription ends
Paid features are switched off, but your account and its data remain. Pages you have already published stay reachable at their links until you switch them off. You can deactivate any published link from your account at any time.
10.2 Deleting your account
To delete your account and its data, write to support@proptool.org from the email address of the account. When we delete the account, we switch off its published pages. Deleting an account does not cancel a paid subscription — cancel it first as described in the Payment Policy. Retention periods are set out in the Privacy Policy.
11. Disclaimer and limitation of liability
The platform is provided “as is” and “as available”. We do not warrant that it will be uninterrupted or error-free, or that any calculation, AI output or third-party data is accurate, complete or fit for a particular purpose.
To the fullest extent permitted by law, we are not liable for:
- content published or shared by users, and its distribution;
- decisions made by you, your clients or anyone else on the basis of platform results;
- disputes between you and your clients or other third parties;
- lost profits, revenue, business, deals, opportunities or data, or any indirect or consequential loss.
Our total liability for any claim arising out of or relating to the platform or these Terms is limited to the amount you paid us for the platform in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.
12. Indemnity
You will compensate PropTool for any loss, claim, fine, penalty and reasonable legal costs arising from your content, from your use of the platform in breach of these Terms or the law, or from your dealings with your clients and other third parties.
13. Changes to these Terms
We may update these Terms, the Payment Policy and the Privacy Policy. Each version carries an effective date and a version number. When a change affects your rights, we notify you by email or in the platform and ask you to accept the new version when you next sign in. Until you accept it, you cannot continue to use your account. If you do not accept it, you may cancel your subscription; the Payment Policy applies to payments already made.
14. Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Before going to court, write to support@proptool.org so that we can try to settle the matter within 30 days. Any dispute that is not settled is subject to the exclusive jurisdiction of the courts of Dubai.
15. General
- These Terms, the Payment Policy and the Privacy Policy are the entire agreement between you and PropTool about the platform.
- If a provision is found invalid, the rest remains in force.
- If we do not enforce a right, we do not waive it.
- We may transfer our rights and obligations under these Terms to a company that operates the platform, including a company registered for that purpose. We will tell you about the transfer. You may not transfer your rights without our written consent.
- We send notices to the email address of your account or show them in the platform.
- These Terms are published in English and Russian. If the versions differ, the English version prevails.
